TripSignal Drive Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TripSignal Drive, operated by Morgan Brothers Entertainment LLC (“Morgan Brothers Entertainment,” “we,” “us,” or “our”).

By downloading, installing, accessing, purchasing, subscribing to, or using TripSignal Drive, you agree to these Terms.

If you do not agree to these Terms, do not use TripSignal Drive.

1. Eligibility

TripSignal Drive is intended for adult rideshare, delivery, and gig-work drivers.

You must be at least 18 years old and legally capable of entering into these Terms to use the app.

You are responsible for ensuring that your use of TripSignal Drive is permitted under applicable law and under the rules of any third-party platform you use.

2. Purpose of TripSignal Drive

TripSignal Drive is a driver decision-support application designed to help users evaluate supported rideshare or delivery offers.

The app may process visible trip-offer information such as:

• offered fare or estimated earnings;

• pickup time and distance;

• trip time and distance;

• trip or service type;

• visible route, stop, pickup, or destination information; and

• other information displayed as part of a supported offer.

TripSignal Drive may apply user-selected settings and deterministic calculations to provide metrics and TAKE / MAYBE / SKIP guidance.

TripSignal Drive provides informational assistance only.

TripSignal Drive is not:

• a transportation provider;

• a rideshare or delivery platform;

• a dispatch service;

• an employment service;

• a financial adviser;

• a tax adviser;

• an insurance provider; or

• an authorized representative of Uber, Lyft, or another third-party platform.

3. Driver Makes the Final Decision

TripSignal Drive does not make the driver’s final ride or delivery decision.

TripSignal Drive does not automatically:

• accept rides;

• reject rides;

• cancel rides;

• modify rides;

• tap ride-offer buttons on the driver’s behalf;

• send messages;

• communicate with passengers or customers; or

• autonomously control a rideshare or delivery application.

The driver remains solely responsible for deciding whether to accept, reject, cancel, or complete any trip or delivery.

TAKE / MAYBE / SKIP is TripSignal guidance, not an action performed by the app.

4. Android Accessibility Service

On Android, TripSignal Drive may use Android Accessibility Service after the user voluntarily enables the service and provides the required consent.

Accessibility Service is used to access visible information from supported trip-offer screens so that TripSignal Drive can interpret the offer and calculate driver guidance.

TripSignal Drive does not use Accessibility Service to autonomously accept or reject rides or to make decisions on the driver’s behalf.

The user may disable Accessibility access through Android system settings.

Disabling Accessibility or other required permissions may prevent some TripSignal functions from operating.

5. OCR, Screenshots, and Visual Processing

TripSignal Drive may use supported local OCR, screenshot, or visual-processing functionality to interpret visible trip-offer information or maintain supported local Last Offer functionality.

These functions are subject to device compatibility, Android permissions, third-party application behavior, and technical availability.

TripSignal does not guarantee that every offer can be recognized through Accessibility, OCR, screenshot, or other supported input paths.

6. Safe and Lawful Use

You must use TripSignal Drive safely and lawfully.

Do not interact with TripSignal Drive while driving unless doing so is lawful and safe under the circumstances.

Configure settings before driving whenever reasonably possible.

Use hands-free and audio features where available and appropriate.

You are responsible for complying with:

• traffic laws;

• distracted-driving laws;

• federal, state, and local laws;

• vehicle and road-safety requirements; and

• the rules and terms of the rideshare, delivery, or gig-work platforms you use.

TripSignal Drive must not be used in a way that creates a safety hazard or interferes with safe vehicle operation.

TripSignal guidance never replaces the driver’s responsibility to observe traffic, road conditions, passengers, pedestrians, signs, signals, and applicable law.

7. No Guarantee of Offer Detection or Accuracy

TripSignal Drive depends on information made available by:

• third-party applications;

• the Android operating system;

• Accessibility Service;

• OCR or visual-processing systems;

• the device;

• network services; and

• other technical systems outside our complete control.

Trip-offer information may be incomplete, delayed, unavailable, incorrectly displayed, incorrectly recognized, or incorrectly interpreted.

We do not guarantee that:

• every trip offer will be detected;

• every trip offer will be successfully parsed;

• every displayed value will be accurate;

• every calculation will reflect final real-world conditions;

• every recommendation will be appropriate;

• every overlay or audio result will be perceived by the driver;

• every supported third-party app will remain compatible;

• TripSignal Drive will operate without interruption or error; or

• TripSignal Drive will remain compatible with every device, Android version, or third-party platform.

Drivers should review the original trip offer and use their own judgment before making a decision.

8. No Guarantee of Earnings

TripSignal Drive does not guarantee:

• income;

• profit;

• hourly earnings;

• per-mile earnings;

• trip availability;

• ride acceptance;

• ride completion;

• bonuses;

• incentives;

• promotions;

• driver ratings;

• account status;

• reduced expenses;

• tax results; or

• improved business performance.

TripSignal calculations are based on information available at the time of the offer and on configured assumptions or settings.

Actual results may differ because of:

• traffic;

• waiting time;

• cancellations;

• route changes;

• passenger behavior;

• fuel or energy costs;

• maintenance;

• tolls;

• taxes;

• road conditions;

• inaccurate third-party estimates;

• additional stops;

• platform changes; or

• other circumstances.

Offer values are not guarantees of realized trip results.

9. Independent Product; No Affiliation

TripSignal Drive is an independent product developed and operated by Morgan Brothers Entertainment LLC.

TripSignal Drive is not affiliated with, endorsed by, sponsored by, authorized by, or operated in partnership with:

• Uber Technologies, Inc.;

• Lyft, Inc.; or

• any other rideshare, delivery, transportation, or gig-work platform.

Third-party company names, product names, and trademarks belong to their respective owners and are used only to identify compatible services or explain TripSignal functionality.

10. Standard, Pro, and Other Features

TripSignal Drive may offer different access levels or feature sets, including Standard, Pro, trial, promotional, or other plans where available.

Available features, limitations, subscription periods, and prices may differ by:

• app version;

• platform;

• region;

• device compatibility;

• marketplace;

• subscription plan; or

• product development stage.

A feature described on a website, screenshot, demonstration, promotional material, or future-product roadmap is not guaranteed to be available in every released version.

We may add, modify, replace, limit, or discontinue functionality where reasonably necessary for:

• security;

• compatibility;

• product operation;

• legal compliance;

• marketplace compliance;

• third-party platform changes; or

• product development.

Material changes affecting a paid subscription will be handled as required by applicable law and marketplace rules.

11. Google Play Purchases and Payments

Android purchases and subscriptions are processed through Google Play Billing.

Google Play displays applicable information regarding:

• price;

• billing period;

• renewal;

• trial terms, if any;

• subscription conditions; and

• other material purchase terms.

Morgan Brothers Entertainment LLC does not directly collect or store full payment-card information for purchases processed through Google Play.

Google processes payment and marketplace information under Google’s own terms and policies.

Where TripSignal Drive is later offered through another authorized marketplace, purchases through that marketplace may be subject to that marketplace’s separate payment rules.

12. Auto-Renewing Subscriptions

Where TripSignal Drive offers an auto-renewing subscription, the subscription renews according to the terms displayed by Google Play or the applicable marketplace at the time of purchase.

The subscription continues until canceled or otherwise terminated under the applicable marketplace rules.

Prices and subscription periods may change where permitted by law and marketplace policies.

Any required notice or consent relating to a subscription-price change will be handled through the applicable marketplace or other legally required process.

13. Subscription Verification

A Google Play purchase alone does not necessarily cause the TripSignal client to unlock without verification.

TripSignal Drive may use a TripSignal-operated licensing service to:

• verify Google Play subscription status;

• verify entitlement validity;

• enforce licensing rules;

• prevent unauthorized use;

• prevent unauthorized simultaneous use across multiple devices;

• protect the service from fraud or abuse; and

• provide licensing support.

The app may periodically require network access to Google Play and/or the TripSignal licensing service to verify entitlement status.

Temporary Internet, Google Play, Google Cloud, or TripSignal server problems may temporarily delay or prevent verification.

14. One-Entitlement / One-Active-Device Rule

A TripSignal entitlement may be limited to one active physical device at a time.

The licensing service may bind an entitlement to a device.

Attempting to use the same entitlement simultaneously on another physical device may result in access being blocked on the additional device.

A device replacement, account change, restoration, reset, transfer, or licensing conflict may require renewed verification or support.

Users may not intentionally bypass, defeat, manipulate, or circumvent TripSignal’s subscription-verification or device-binding protections.

15. Licensing Data

For subscription verification and device binding, TripSignal Drive may transmit limited commercial and technical information to the TripSignal licensing service.

The categories of information processed for licensing are described in the TripSignal Drive Privacy Policy.

Trip-offer information is not required by the Release 001 licensing path.

By using paid TripSignal functionality, you authorize the licensing checks reasonably necessary to verify and enforce your entitlement.

16. Managing or Canceling a Subscription

Google Play subscriptions must be managed through the Google Play account used to make the purchase.

Deleting TripSignal Drive from a device does not automatically cancel an active subscription.

Cancellation normally takes effect according to the billing period and terms shown by Google Play.

To avoid future renewal charges, cancel through Google Play within the timeframe required by Google Play.

17. Refunds

Refund requests for purchases made through Google Play are subject to:

• Google Play policies; and

• applicable law.

Morgan Brothers Entertainment LLC may assist with technical or licensing issues but cannot guarantee approval of a refund controlled by Google.

Nothing in these Terms limits any refund or consumer right that cannot lawfully be excluded.

18. License to Use TripSignal Drive

Subject to these Terms, Morgan Brothers Entertainment LLC grants you a limited, personal, non-exclusive, non-transferable, revocable license to use TripSignal Drive for lawful personal or business purposes.

This license does not transfer ownership of:

• the app;

• source code;

• algorithms;

• formulas;

• designs;

• branding;

• documentation;

• databases;

• business methods;

• technical architecture; or

• other intellectual property.

All rights not expressly granted are reserved.

19. Acceptable Use

You agree not to:

• reverse engineer, decompile, disassemble, or attempt to extract source code except to the extent applicable law expressly permits;

• copy, sell, sublicense, rent, redistribute, or commercially exploit TripSignal Drive without written authorization;

• bypass, defeat, manipulate, or circumvent subscription controls or device-binding systems;

• bypass security protections or technical limitations;

• forge, alter, manipulate, or reuse licensing credentials;

• interfere with TripSignal servers, networks, licensing infrastructure, or other users;

• introduce malicious code;

• attempt unauthorized access to systems or data;

• overload, scrape, attack, probe, or disrupt TripSignal infrastructure;

• impersonate another user;

• use another person’s purchase or entitlement without authorization;

• use TripSignal Drive in violation of law;

• use TripSignal Drive in violation of third-party rights; or

• use the app for fraud, abuse, or unlawful activity.

20. Local Operational Data

TripSignal Drive may maintain local operational offer records, Last Offer information, screenshots, technical diagnostics, and presentation records as described in the Privacy Policy.

These local records are part of application operation and troubleshooting.

They are not a promise that TripSignal provides a cloud analytics service, permanent offer archive, or indefinite historical record.

Local records may be rotated, overwritten, deleted, expired, cleared, or removed according to app behavior, device storage, Android operation, or user actions.

21. Privacy

Your use of TripSignal Drive is subject to the TripSignal Drive Privacy Policy.

The Privacy Policy describes:

• local trip-offer processing;

• Android Accessibility Service;

• OCR and screenshots;

• local operational offer journals;

• technical diagnostics;

• subscription verification;

• device binding;

• server-side licensing records;

• Google Play;

• Google Cloud;

• data retention;

• deletion; and

• security.

22. Intellectual Property

TripSignal, TripSignal Drive, related names, logos, software, algorithms, interfaces, formulas, text, graphics, product materials, and documentation are owned by or licensed to Morgan Brothers Entertainment LLC and are protected by applicable intellectual-property laws.

Nothing in these Terms grants permission to use our trademarks, logos, trade dress, copyrighted materials, proprietary technology, or confidential information except as necessary to use TripSignal Drive as permitted by these Terms.

23. App Updates and Compatibility

We may release updates to improve:

• security;

• performance;

• compatibility;

• licensing;

• compliance;

• reliability; or

• functionality.

Third-party platforms, Google, Android, device manufacturers, or operating-system providers may change:

• applications;

• interfaces;

• offer layouts;

• permissions;

• Accessibility behavior;

• billing systems;

• technical systems;

• security rules; or

• policies.

Such changes may temporarily or permanently affect TripSignal Drive.

We do not guarantee permanent compatibility with any particular third-party app, device, operating-system version, marketplace, offer format, or technical interface.

An update may be required to continue using some or all TripSignal functionality.

24. Availability of the Licensing Service

Some paid TripSignal functions depend on Google Play and TripSignal’s licensing service.

We do not guarantee uninterrupted availability of:

• Google Play;

• Google Play subscription verification;

• Internet connectivity;

• Google Cloud infrastructure; or

• TripSignal licensing services.

Temporary verification failure may prevent access to paid functionality even when a user believes a subscription is active.

Where reasonably possible, users may contact support for licensing assistance.

25. Suspension or Termination

We may suspend, restrict, or terminate access to TripSignal Drive where reasonably necessary because of:

• violation of these Terms;

• fraud;

• unauthorized subscription use;

• attempted licensing circumvention;

• security threats;

• abusive activity;

• nonpayment or inactive entitlement;

• legal or regulatory requirements;

• marketplace requirements;

• technical risk; or

• discontinuation of the app or a material service.

Termination or suspension does not automatically create a right to a refund except where required by applicable law or marketplace policy.

26. Disclaimer of Warranties

To the maximum extent permitted by law, TripSignal Drive is provided:

“AS IS” and “AS AVAILABLE.”

Morgan Brothers Entertainment LLC disclaims warranties, express or implied, including warranties relating to:

• merchantability;

• fitness for a particular purpose;

• accuracy;

• reliability;

• availability;

• compatibility;

• non-infringement;

• uninterrupted operation; and

• error-free operation.

Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

Nothing in these Terms limits rights that cannot lawfully be waived.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Morgan Brothers Entertainment LLC and its owners, employees, contractors, representatives, affiliates, and service providers will not be liable for losses or damages arising from or relating to:

• lost income;

• lost profit;

• lost bonuses or incentives;

• missed business opportunities;

• missed, rejected, canceled, or incorrectly evaluated rides or deliveries;

• inaccurate or incomplete trip information;

• TripSignal recommendations;

• actions taken or not taken by the driver;

• actions by Uber, Lyft, or another third-party platform;

• driver account suspension, restriction, or deactivation;

• network or Internet failure;

• Google Play failure;

• licensing-verification failure;

• device failure;

• Android failure;

• operating-system changes;

• third-party application changes;

• driving decisions;

• traffic violations;

• collisions;

• personal injury;

• property damage; or

• indirect, incidental, special, consequential, exemplary, or punitive damages.

TripSignal Drive is a decision-support tool and does not assume responsibility for operating a vehicle or making the driver’s final ride decision.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

28. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Morgan Brothers Entertainment LLC and its owners, employees, contractors, and representatives from claims, liabilities, losses, damages, and reasonable expenses arising from:

• your unlawful use of TripSignal Drive;

• your unsafe use of TripSignal Drive;

• your violation of these Terms;

• your violation of third-party rights;

• your violation of rideshare or delivery platform rules;

• fraudulent or unauthorized use of a TripSignal entitlement; or

• decisions or actions you take while driving or performing rideshare or delivery work.

This provision applies only to the extent enforceable under applicable law.

29. Third-Party Services

TripSignal Drive depends in part on third-party services and infrastructure, which may include:

• Android;

• Google Play;

• Google Cloud;

• Uber;

• Lyft;

• device manufacturers;

• Internet providers; and

• other rideshare, delivery, marketplace, or technical services.

We do not control those third parties.

Their outages, policy changes, application changes, interface changes, or service changes may affect TripSignal Drive.

Use of third-party services is also subject to their own terms and policies.

30. Changes to These Terms

We may update these Terms to reflect changes in:

• TripSignal Drive;

• subscriptions;

• licensing;

• security;

• law;

• Google Play requirements;

• marketplace requirements;

• third-party services; or

• business operations.

Updated Terms will display a revised Effective Date.

When additional notice or consent is legally required, we will provide it through an appropriate method.

Continued use of TripSignal Drive after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

31. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

Any dispute will be handled in a court with lawful jurisdiction unless the parties separately agree to another legally permitted dispute-resolution process.

Nothing in this section removes rights that applicable consumer law does not permit the parties to waive.

32. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

33. No Waiver

Failure by Morgan Brothers Entertainment LLC to enforce a provision of these Terms does not waive the right to enforce that provision later.

A waiver is effective only when made by an authorized representative and only for the specific matter covered by the waiver.

34. Entire Agreement

These Terms, together with:

• the TripSignal Drive Privacy Policy; and

• subscription or purchase terms displayed through Google Play or another authorized marketplace,

constitute the agreement between you and Morgan Brothers Entertainment LLC regarding TripSignal Drive, except where another written agreement expressly applies.
